What important clauses should be included in a Delaware certificate of incorporation?

The most important clauses to pay attention to are the number of shares authorized to issue (check out more on that here – How many shares should I issue when incorporating?) as well as the info on the incorporator. Using an incorporator when incorporating allows you to stay anonymous. Depending on the goals of your company, a more extensive certificate of incorporation might be a better idea than the default form provided by the state.
