Every successful company needs a great legal team specific to their industry and legal needs (i.e., mergers and acquisition experience). But the best lawyer one company might not be a great fit for you. Since you’re going through an acquisition, there are a number of factors to consider as this will be an extremely important decision.

Okay, now that we have some credibility out of the way, lets get it on.
First of all, you’ll want to know that they have experience working with startups, but don’t stop there. Be thorough, and don’t hesitate to ask detailed questions. Instead of “Do you have experience?”—to which the answer will undoubtedly be “Yes!”—ask them how many startup clients they’ve had in the past, and who they were.
Ask about their clients, and their client relationships. Do their clients tend to fit a certain mold? Does the firm start working with a client on day one and remain with the company for years?
Don’t hesitate to ask about their fee structure either. Especially during an acquisition! Is it a certain percentage from the total deal? An hourly rate? If so what’s the project legal costs after all is said and done?
Lastly, ask yourself do you see yourself getting along with this lawyer? You’ll be spending a lot of time with them, so get a good feel of their personality and make sure you don’t cringe when you see their phone number!
