Operating agreements often include language addressing how the LLC may alter or revoke the agreement. If not, the rule for adopting a new operating agreement is governed by the default rule in your state. The default rule for the State of Washington is approval by all members, which is easy for your single member LLC.
I agree with Dana and and Stephen that you should clearly note in your new operating agreement that this one replaces the former. I also agree with the Anonymous post that recommends seeking counsel on the tax implications that your amendment may have.
