How do you remove member(s) from an LLC based in California?

I agree that your Operating Agreement should be the document that outlines how members can leave the LLC. You don’t necessarily need a lawyer to write up the written notice, but you should have an attorney involved for other reasons.

You want to be sure that if the member leaves that nobody is being subjected to unexpected taxation. Plus, it’s in everybody’s best interest to make sure that there’s no language in any signed contract that subjects either of you to potential damages in the future.
