Basically, if the contract is open to multiple interpretations then it is considered “ambiguous”. This is why it’s so incredibly important for contract to use clear, direct language and be easily understood by all the parities that need to sign it. Often times, it is ambiguity that gets a contract totally thrown out. Keep in mind, it doesn’t necessarily mean that the entire document is unclear, it could be as simple as a certain term or phrase even.
