Lawtrades AI is intended for professional use by licensed attorneys, paralegals, legal operations professionals, and certain clients or prospects provided access, at our discretion. Lawtrades AI may be technically accessible via direct link; all such access is subject to these Terms and the Lawtrades Terms of Use. We may suspend, limit, or revoke access at any time, for any reason. Lawtrades AI may be provided in an early-access or beta stage. It may contain errors, omissions, or inaccuracies, and features may change without notice. You use Lawtrades AI at your own risk.

Lawtrades AI is an artificial intelligence–powered platform designed to assist legal professionals with tasks such as reviewing contracts, analyzing text, and generating summaries. Lawtrades AI is not a law firm, and Lawtrades does not provide legal advice. Use of Lawtrades AI does not create an attorney–client relationship with Lawtrades. 

You are solely responsible for reviewing and validating any AI-generated outputs before relying on them in a professional or client context. You are further responsible for ensuring that your use of the AI Service complies with all applicable laws, regulations, and professional conduct rules in your jurisdiction. In addition, you are responsible for ensuring all common law, legal citations, and other critical legal and bar association requirements are met. Lawtrades has no liabilities with issues with the AI, models, or output associated with your use of Lawtrades AI. Lawtrades AI may be subject to outages, downtime, and other applicable policies. Lawtrades is not responsible for delays or loss incurred as a result of an error in the initiation of the transaction and have no obligation to assist in the remediation of such transactions.

All User inputs and associated outputs from Lawtrades AI are treated as confidential, to the extent available via the large language model. Lawtrades is not able to access such inputs/outputs. Where technically feasible, Lawtrades AI automatically removes personally identifiable information (PII) from documents before AI processing in an effort to maintain the Attorney-Client Relationship or confidentiality of the input itself. 

You agree that through your use of Lawtrades AI you will not: (i) reverse engineer, attempt to discover any source code or underlying ideas or algorithms of Lawtrades AI;; (ii) sell, transfer, license, or otherwise allow others to access or use Lawtrades AIs; (iii) copy, modify, or create derivative works of Lawtrades AI; (iv) cause performance degradation of Lawtrades AI; (v) use Lawtrades AIs with any High Risk Activities or with activity prohibited by Applicable Laws; (vi) upload, submit, or otherwise make available to Lawtrades AI any Customer Content to which you and your Users do not have the proper rights. You are solely responsible for ensuring you have the necessary rights, authority, and client consent to upload any material to Lawtrades AI and for preserving privilege and confidentiality under applicable professional conduct rules.

“User Content” means any prompts, text, contracts, playbooks, or other materials you submit to Lawtrades AI. You retain all ownership rights in your User Content. You grant us a non-exclusive, worldwide license to process your User Content to provide and improve Lawtrades AI, and for the use of any such input in the large language model. “Outputs” are results generated by Lawtrades AI from your User Content. Based on third-party rights in your materials, you may not own all rights in Outputs generated from your User Content. 

Lawtrades and its licensors own all rights, title, and interest in and to Lawtrades AI, including all software, technology, and content made available through it, excluding User Content and Outputs. You may not copy, modify, distribute, sell, lease, or create derivative works from any part of Lawtrades AI except as expressly permitted by these Terms.

Lawtrades makes no guarantees that Lawtrades AI will always be safe, secure, or error-free, or that it will function without disruptions, delays, or imperfections. Lawtrades disclaims all other warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. These disclaimers apply to the maximum extent permitted by Applicable Laws.The use of the Site and Lawtrades AIs is at your own risk and is provided "as is." You are solely responsible for the use of Lawtrades platform and any legal consequences that may arise from such use. We are not responsible for any loss, damage, or legal liability resulting from your use of Lawtrades AI. We do not warrant, and Lawtrades AI will not be liable for, that AI Outputs being accurate, complete, reliable, error-free, secure, or uninterrupted. 

To the fullest extent permitted by law, Lawtrades and its affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising from or related to your use of Lawtrades AI. 

‍TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LAWTRADES OR OUR VENDORS OR SUPPLIERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR LAWTRADES AI, INCLUDING ANY CONTENT, SOFTWARE, PRODUCTS, SERVICES, MATERIALS, AND INFORMATION INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH LAWTRADES AI, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, THE SITE IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR COMPUTER SYSTEM, OR LOSS OF DATA RESULTING THEREFROM. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR CUMULATIVE LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THE SITE, INCLUDING ANY CONTENT, SOFTWARE, PRODUCTS, SERVICES, MATERIALS, AND INFORMATION INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OFTHE ACTION), WILL AT ALL TIMES BE LIMITED TO A MAXIMUM OF ONE HUNDRED US DOLLARS (U.S. $100). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT. YOU AGREE THAT OUR SUPPLIERS WILL HAVE NO LIABILITY OF ANY KIND ARISING FROM OR RELATING TO THE SITE, INCLUDING ANY CONTENT, SOFTWARE, PRODUCTS, SERVICES, MATERIALS, AND INFORMATION INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE OR LAWTRADES AI.

You agree to defend, indemnify, and hold harmless Lawtrades (and its officers, employees, agents, successors and assigns) harmless, including costs and attorneys’ fees, from any claim or demand made by any third party due to or arising out of (a) your use of the Site or Services, (b) your User Content; (c) your violation of these Terms; or (d) your violation of applicable laws or regulations. Lawtrades reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Lawtrades. Lawtrades will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

You hereby release and forever discharge Lawtrades (and our officers, employees, agents, successors, and assigns) from, and hereby waive and relinquish, each and every past, present, and future dispute, claim, controversy, demand, right, obligation, liability, action, and cause of action of every kind and nature(including personal injuries, death, and property damage), that has arisen or arises directly or indirectly out of, or that relates directly or indirectly to, the Site or Services.

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes will be resolved exclusively in the state or federal courts located in New York County, New York, unless the parties agree to arbitration.
